Whereas the program sources of the software application named "SandyV" ("the sources") represent a valuable investment of know-how, time, and effort by Jonathan Beit-Aharon of 566 Centre Street, Newton, MA 02458, USA ("Jonathan"), therefore the undersigned ("Customer") acknowledges and accepts the following terms regarding the use, modification, and dissemination of these sources:

Upon the signing of this contract by Customer, its notarization, and the payment of an initial $500 Jonathan will provide to Customer the binary executable application with accompanying configuration files, help screens, and other documentation.   Jonathan will also place a copy of the sources in escrow for Customer.

For the subsequent seven (7) years, Customer will submit to Jonathan by April 30 of each year, a copy of their latest US Federal Tax Form 1040's Schedule C, Schedule 1120, or equivalent, along with a notarized letter stating its veracity.   With the letter and copy of the tax form Customer will submit payment for the use of SandyV, in an amount equal to 0.5&percent; of the larger of the Net profit and the sum of all Wages and Officer Compensation shown on the form.

Within 2 months of the final payment, Jonathan will provide the sources to Customer.   The sources will be provided on "AS IS" basis.   Jonathan warrants only that the sources are indeed the program sources from which the delivered binary executable version of SandyV was generated.

Customer shall keep the sources in confidence, allowing access to them on a need-to-know basis only, to people who sign a sufficient Non-Disclosure Agreement.

Customer shall not sell the sources to a third party, nor provide them to a third party for the purpose of sale or use by such third party.   Whenever sharing the sources with a third party, Customer shall ask such third party to sign and submit a copy of this agreement to Jonathan at the above address.

Jonathan grants Customer the right to use and modify the sources as needed for Customer's business, without any warranty whatsoever by Jonathan of Customer modifications.
